NOW THEREFORE, in consideration of the mutual covenants and for other valuable consideration, the parties agree as follows:
ASSIGNMENT OF TRADEMARK: The Assignor hereby assigns and transfers to the Assignee all right, title, and interest in and to the trademark and all goodwill and reputation associated therewith (if applicable).
GOODWILL: This assignment is made without goodwill; the Assignee shall not be entitled to use the reputation or goodwill of the Assignor.
TERRITORY: The assignment shall be valid and enforceable in India and its territories.
CONSIDERATION: In consideration of this assignment, the Assignee shall pay to the Assignor a sum of .
REGISTRATION: The Assignor agrees to cooperate with the Assignee in registering this assignment with the Indian Trade Marks Registry, as required under the Trade Marks Act, 1999, Section 44.
USAGE AND PROTECTION: The Assignee shall use the trademark in connection with the goods/services specified in the registration. The Assignee shall take all necessary steps to protect the trademark against infringement.
GOVERNING LAW: This Agreement shall be governed by the laws of India. Any disputes shall be resolved in the courts having jurisdiction in India.
