EMPLOYEE INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT

WHEREAS, the Employer has employed the Employee in the capacity of ;
WHEREAS, in the course of employment, the Employee may create, develop, invent, or discover intellectual property including patents, copyrights, designs, trade secrets, and know-how;
WHEREAS, the parties desire to establish clear ownership and rights with respect to such intellectual property;
ASSIGNMENT OF IP: The Employee hereby assigns and transfers to the Employer all right, title, and interest in and to all work-related intellectual property, inventions, and discoveries directly related to the Employer's business or research activities.
SCOPE OF ASSIGNMENT: The intellectual property assignment shall include but not be limited to: (a) all inventions and discoveries; (b) all improvements to existing products or processes; (c) all software, algorithms, and computer programs; (d) all designs, specifications, and technical documentation; and (e) all works of authorship.
PRIOR INVENTIONS: Notwithstanding the above, the following intellectual property is excluded from this assignment and remains the property of the Employee:
COOPERATION IN PROSECUTION: The Employee agrees to fully cooperate with the Employer in obtaining, maintaining, and enforcing intellectual property rights, including executing all necessary documents and providing information and assistance as reasonably requested.
NON-COMPETE: The Employee agrees not to compete with the Employer in any field related to the intellectual property assigned hereunder for a period of months following the termination of employment.
CONFIDENTIALITY: The Employee agrees to maintain strict confidentiality with respect to all intellectual property, trade secrets, and confidential information of the Employer.
CONSIDERATION: The Employee acknowledges that the assignment of intellectual property is made as part of the consideration for continued employment with the Employer.
JURISDICTION: This Agreement shall be governed by the laws of India and the courts of shall have exclusive jurisdiction.
