WHEREAS, the Assignor is the inventor/owner of a patent in India relating to the following invention:

WHEREAS, the Assignor desires to assign all rights in the aforesaid patent to the Assignee;
NOW THEREFORE, in consideration of the mutual covenants and for other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ASSIGNMENT OF PATENT RIGHTS: The Assignor hereby assigns and transfers to the Assignee all right, title, and interest in and to the patent and all rights thereunder, including all claims, reissues, extensions, supplementary protection certificates, and divisional applications.
TERRITORY: The assignment covers the patent rights in India.
CONSIDERATION: The Assignee shall pay to the Assignor a sum of .
PROSECUTION RIGHTS: The Assignor retains the right to prosecute the patent, with cooperation from the Assignee.
COOPERATION: The Assignor agrees to fully cooperate with the Assignee in prosecuting and maintaining the patent, including executing necessary documents, providing technical information, and testifying as a witness if required.
REGISTRATION: The Assignor agrees to cooperate in registering this assignment with the Indian Patent Office as required under the Patents Act, 1970.
GOVERNING LAW: This Agreement shall be governed by the laws of India. Any disputes shall be resolved in accordance with Indian law.
